YZi Labs Ends Six-Month Proxy Fight with BNB Treasury Firm CEA Industries, Secures Three Board Seats

CEA Industries (Nasdaq: BNC) and YZi Labs reached a cooperation agreement on June 23, ending a dispute that had threatened the governance of one of the largest publicly traded BNB token treasuries in the world.

The two parties signed the deal after roughly six months of escalating conflict, including a consent solicitation, SEC filings, and accusations of shareholder-hostile tactics. Under the terms of the agreement, YZi Labs will drop its proxy campaign (consent solicitation) and withdraw related books-and-records demands and record date requests.

In return, it gains three seats on CEA's board: Ella Zhang, the managing partner of YZi Labs; Alex Odagiu, a YZi Labs investment partner who will also serve as interim president; and Matthew Roszak, associated with blockchain infrastructure firm Bloq and managing partner of Tally Capital.

David Namdar stays on as CEO during the transition. YZi Labs, which manages over $10 billion in assets, brings significant institutional weight to the newly restructured board. The company's annual stockholder meeting is set for July 22, 2026.


From Greenhouses to BNB Vaults

CEA Industries, headquartered in Louisville, Colorado and incorporated in Nevada, began its corporate life as a climate control systems supplier for commercial greenhouses and cannabis cultivation facilities.

In August 2025, the company abandoned that business entirely and repositioned itself as a BNB token treasury company, following the model that MicroStrategy popularized with Bitcoin. The pivot was funded through a $500 million PIPE transaction led by 10X Capital in partnership with YZi Labs, which allowed CEA to acquire 200,000 BNB in a $160 million deal almost overnight.

As of April 30, 2026 (the company's fiscal year end), CEA holds 515,544 BNB with a fair value of roughly $317.3 million, representing approximately 0.374% of BNB's total supply.

The stock surged roughly 600% in the months following the pivot announcement before falling approximately 87% from its peak, a pattern analysts have noted among single-asset treasury vehicles.


What the Fight Was Actually About

The dispute had a specific trigger. On December 3, 2025, YZi Labs issued a formal warning to the CEA board after claiming it had credible intelligence that 10X Capital, CEA's asset manager and controlling PIPE participant, was pressuring board members to abandon BNB and shift the treasury toward Solana instead.

YZi Labs, the Hong Kong-based firm formerly known as Binance Labs before restructuring as an independent family office for Binance founder Changpeng "CZ" Zhao and He Yi, has a direct strategic interest in BNB remaining CEA's exclusive focus.

The conflict escalated quickly. CEA adopted a "poison pill" shareholder rights plan and amended its bylaws to restrict actions by written consent. YZi Labs filed an SEC challenge on January 5, 2026, calling those moves "stockholder-unfriendly."

On February 13, 2026, Odagiu sent a letter to the board arguing that CEA had not held an annual stockholder meeting in over 400 days, potentially putting it at risk of violating Nasdaq listing rules. YZi also alleged that a fiscal year change had been used to delay the next meeting by as much as 16 months.

CEA declared YZi's record date request "deficient" on March 24, 2026.

The cooperation agreement signed this week ends all of that.


Who Is Ella Zhang?

Zhang founded Binance Labs in 2018 and led it through its early years before departing in 2020 to co-found Trendsi, an AI supply chain startup. She returned to lead the firm, now rebranded as YZi Labs, in January 2025 at the request of CZ and He Yi.

She holds an MBA from Stanford Graduate School of Business and an electrical engineering degree from the University of Electronic Science and Technology in Sichuan.

Her earlier career included stints at Tencent's Shenzhen office, Google's Beijing office, and Kleiner Perkins Caufield and Byers, where she served as an investment principal in China.

Zhang said in a statement: "The next generation of digital asset treasury companies will not be defined only by what they hold, but by how thoughtfully they govern, allocate and build around those assets."

Board chair Carly E. Howard said the agreement reflects "constructive, forward-looking collaboration that creates real value for BNC and its stockholders."

Incoming interim president Alex Odagiu added: "Joining BNC at this critical time for the future of the Company and the BNB Chain is a welcome opportunity."


Why This Matters Beyond Wall Street

BNB Chain is not primarily a story about American retail investors. It is core infrastructure in the regions where crypto adoption has grown fastest.

South Asia recorded roughly $300 billion in on-chain transaction volume from mid-2024 to mid-2025, an 80% increase year over year. Pakistan alone saw an 18.7% growth in Binance peer-to-peer crypto remittances during the same period. Sub-Saharan Africa received more than $205 billion in on-chain value between July 2024 and June 2025, a 52% increase, with Nigeria at the forefront of the continent's grassroots crypto activity.

In both regions, BNB Chain's low transaction fees make it a preferred network for peer-to-peer trading, remittances, and access to decentralized finance tools.

The resolution of the proxy fight also carries direct significance for BNB's regional competitive position. Had the Solana pivot succeeded, it would have undermined BNB's narrative as an institutionally backed, globally accessible smart chain in the markets where it has built its deepest retail and developer presence. With that threat removed, the ecosystem's institutional alignment is intact.

With YZi Labs now holding direct board representation at one of the largest public BNB treasuries, the institutional capital layer behind BNB is more visibly aligned with the ecosystem's original backers. That matters for developer confidence, particularly given YZi Labs' $1 billion Builder Fund for early-stage founders on BNB Chain, which offers individual grants up to $500,000.


What Comes Next

CEA's board is forming a CEO search committee, specifically targeting candidates with public company experience and digital asset expertise. A joint search for an additional independent director focused on digital assets and corporate governance is also underway.

YZi Labs has agreed to voting provisions and standstill restrictions as part of the deal, constraining its shareholder actions for the duration of the agreement.

For now, the BNB-exclusive treasury strategy appears locked in, and the question shifts from whether the company survives its internal conflict to whether it can build durable value around 515,000 tokens in an increasingly competitive institutional digital asset market.
